Welcome to [Starter Business S.L. operating under the commercial name NOMU] (the âPlatformâ, âweâ, âusâ, or âourâ), a marketplace connecting users with curated experiences related to wine and beverages, including alcoholic and non-alcoholic options. By using our services, you agree to the following Terms and Conditions. Please read carefully before accessing or using the Platform.
- Scope of Services The Platform allows Providers to list and sell beverage-related experiences (e.g., tastings, tours, seminars, workshops, etc.) and allows Users to discover, book, and pay for such experiences.
The Platform acts solely as an intermediary. We do not provide, own, or operate the experiences. The responsibility for delivering experiences rests entirely with the Provider.
All listings are subject to approval by the Platform before becoming publicly available.
- Eligibility Users must be at least 20 years old in Japan (or the legal drinking age in their jurisdiction) to participate in experiences involving alcohol. Users may be required to present a valid government-issued ID. Failure to do so may result in denial of participation without refund.
Providers must hold all necessary licenses, permits, and legal rights to offer their services, particularly those involving alcohol (e.g., é é¡è²©å£²æ¥å èš±, 飲é£åºå¶æ¥èš±å¯). Providers must provide proof of such licenses to the Platform upon request.

Accounts and Registration Users and Providers must create an account with accurate and up-to-date information. Providers must also create a Stripe Connect account to receive payments and agree to Stripeâs terms of service. Users are responsible for maintaining the confidentiality of their login credentials.

Listings and Approval Providers may create listings for their experiences, including descriptions, prices, availability, restrictions, and cancellation policies. All listings are reviewed and approved by the Platform before publication. We may reject or remove listings at our discretion. Providers are solely responsible for ensuring that listings are truthful, accurate, not misleading, and compliant with Japanese consumer protection laws (including ç¹å®åååŒæ³ and æ¯å衚瀺æ³).

Bookings and Payments Users may request bookings for experiences through the Platform. All booking requests must first be approved by the respective Provider. Only after the Provider has approved the booking through the Platform will the payment be processed, and the Userâs payment method will be charged. Payments are handled entirely through Stripe Connect, a third-party payment processor. The Platform does not directly receive or hold Usersâ funds. Stripe transfers the relevant amounts (minus service fees and processing fees) directly to the Providerâs connected Stripe account. The Platform acts solely as an intermediary to facilitate the booking and payment process and is not responsible for managing or disbursing Provider payouts. All responsibilities related to refunds, cancellations, or disputes regarding payments lie exclusively with the Provider. Taxes, service charges, and any additional fees are the responsibility of the Provider unless otherwise specified in the listing. Cancellations and Refunds Providers must clearly specify their own cancellation and refund policy in each listing. Refunds, if applicable, are to be processed by the Provider through Stripe, in accordance with their stated policy. The Platform does not issue refunds directly and bears no financial responsibility for refund execution or timing. In limited cases, such as suspected fraud, service non-delivery, or violation of these Terms, the Platform may facilitate communication or technical coordination through Stripe but does not assume refund liability. Providers are responsible for ensuring their refund and cancellation policies comply with applicable Japanese consumer protection laws. Responsibilities of Providers Providers agree to deliver the experience exactly as described, comply with all applicable laws regulating alcohol service, advertising, labeling, and public safety, maintain valid insurance if required by law, and not engage in misleading, unsafe, or illegal practices. Providers must confirm the age of participants before providing alcohol.

Responsibilities of Users Users must confirm that they meet the legal drinking age, present valid ID when requested by Providers, consume alcohol responsibly and at their own risk, behave respectfully, and not resell, misuse, or misrepresent bookings.

Fees and Charges The Platform charges a service fee from each booking, deducted automatically before funds are transferred to the Provider. Users may also be charged a booking fee depending on the experience. All fees are disclosed at checkout.

Stripe Payments Payment processing services are provided by Stripe Connect. By using the Platform, Providers agree to comply with Stripeâs Connected Account Agreement. The Platform is not responsible for delays, errors, or disputes arising from Stripeâs services.

Intellectual Property Providers retain ownership of the content they upload (e.g., photos, descriptions), but grant the Platform a non-exclusive, worldwide, royalty-free license to use such content for marketing and promotional purposes. Users and Providers may not copy, distribute, or misuse Platform content without permission.

Prohibited Activities You agree not to: use the Platform for unlawful purposes; misrepresent age, identity, or qualifications; circumvent payment systems (e.g., arranging off-platform transactions); post harmful, offensive, or misleading content; promote irresponsible or excessive drinking.

Limitation of Liability The Platform is not liable for the conduct, actions, or omissions of Providers or Users. The Platform does not guarantee the safety, legality, or quality of experiences. Users acknowledge that alcohol consumption carries inherent risks. The Platform is not responsible for health issues, accidents, injuries, or damages resulting from alcohol consumption during experiences. To the fullest extent permitted by law, the Platformâs liability is limited to the total amount of fees paid by the User to the Platform in the past 6 months.

Termination We may suspend or terminate accounts that violate these Terms, at our discretion. Providers remain responsible for fulfilling confirmed bookings even after account termination, unless otherwise agreed.

Governing Law and Jurisdiction These Terms shall be governed by and construed in accordance with the laws of Japan. Any disputes shall be subject to the exclusive jurisdiction of the Tokyo District Court.

Changes to Terms We reserve the right to update these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated Terms.

- Privacy and Data Protection We collect and process personal information of Users and Providers in accordance with applicable laws, including Japanâs Act on the Protection of Personal Information (APPI). Information collected may include names, email addresses, payment details, booking history, and identification documents (for age verification). Personal information will be used solely for providing and improving the Platform, processing bookings and payments, verifying identity and age, ensuring compliance with laws, and communicating with Users and Providers. We may share necessary information with third-party service providers (e.g., Stripe, Providers of experiences) strictly for the purposes described above. Responsibilities of Providers Providers agree to deliver the experience exactly as described, comply with all applicable laws regulating alcohol service, advertising, labeling, and public safety, maintain valid insurance if required by law, and not engage in misleading, unsafe, or illegal practices. Providers must confirm the age of participants before providing alcohol.

Responsibilities of Users Users must confirm that they meet the legal drinking age, present valid ID when requested by Providers, consume alcohol responsibly and at their own risk, behave respectfully, and not resell, misuse, or misrepresent bookings.

Fees and Charges The Platform charges a service fee from each booking, deducted automatically before funds are transferred to the Provider. Users may also be charged a booking fee depending on the experience. All fees are disclosed at checkout.

Stripe Payments Payment processing services are provided by Stripe Connect. By using the Platform, Providers agree to comply with Stripeâs Connected Account Agreement. The Platform is not responsible for delays, errors, or disputes arising from Stripeâs services.

Intellectual Property Providers retain ownership of the content they upload (e.g., photos, descriptions), but grant the Platform a non-exclusive, worldwide, royalty-free license to use such content for marketing and promotional purposes. Users and Providers may not copy, distribute, or misuse Platform content without permission.

Prohibited Activities You agree not to: use the Platform for unlawful purposes; misrepresent age, identity, or qualifications; circumvent payment systems (e.g., arranging off-platform transactions); post harmful, offensive, or misleading content; promote irresponsible or excessive drinking.

Limitation of Liability The Platform is not liable for the conduct, actions, or omissions of Providers or Users. The Platform does not guarantee the safety, legality, or quality of experiences. Users acknowledge that alcohol consumption carries inherent risks. The Platform is not responsible for health issues, accidents, injuries, or damages resulting from alcohol consumption during experiences. To the fullest extent permitted by law, the Platformâs liability is limited to the total amount of fees paid by the User to the Platform in the past 6 months.

Termination We may suspend or terminate accounts that violate these Terms, at our discretion. Providers remain responsible for fulfilling confirmed bookings even after account termination, unless otherwise agreed.

Governing Law and Jurisdiction These Terms shall be governed by and construed in accordance with the laws of Japan. Any disputes shall be subject to the exclusive jurisdiction of the Tokyo District Court.

Changes to Terms We reserve the right to update these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
